SitReady provides technology and marketplace functionality and does not itself provide the childcare services performed by a Sitter. The childcare services associated with a Booking are provided by the Sitter directly to the Parent and Child.

2. INDEPENDENT CONTRACTOR RELATIONSHIP

The parties intend that the Sitter provide childcare services as an independent service provider and not as an employee, agent, partner, joint venturer, franchisee, or representative of SitReady.Nothing in this Agreement authorizes the Sitter to: • Bind SitReady to a contract; • Make promises on behalf of SitReady; • Make warranties or representations on behalf of SitReady; • Incur obligations or expenses for SitReady; or • Represent that the Sitter is a SitReady employee. The parties acknowledge that the label “independent contractor” does not by itself determine legal classification. Worker classification depends on the actual relationship between the parties, the parties' conduct, applicable law, and the degree of behavioral control, financial control, and other relevant factors.

3. SITTER CONTROL OVER AVAILABILITY AND WORK

Subject to lawful eligibility, safety, and Platform-integrity requirements, the Sitter controls: • When to make services available; • Whether to use SitReady; • Which Booking opportunities to review; • Which Bookings to accept or decline; and • Whether to continue offering services through SitReady. SitReady does not guarantee the Sitter: • A minimum number of Bookings; • A minimum number of hours; • A minimum number of opportunities; • A minimum level of earnings; or • Any particular amount of work. SitReady may provide technological tools such as: • Matching; • Search filters; • Search or ranking features; • Availability tools; • Instant Booking functionality; and • Notifications. Such tools are intended to facilitate the marketplace and do not, by themselves, require a Sitter to accept a particular Booking.

A Sitter's decision to accept a Booking is voluntary.Once the Sitter accepts a Booking, the Sitter is expected to honor the agreed Booking terms unless: • The Booking is properly cancelled; • The Parent agrees to a change; • A genuine emergency occurs; or • Another permitted exception applies. Reliability requirements concerning accepted Bookings are intended to protect Parents and Children and maintain Platform integrity. They are not intended to require the Sitter to accept Booking opportunities in the first instance.

The Parent and Sitter determine the childcare requested for an individual Booking.Subject to the agreed Booking terms, Applicable Law, and reasonable safety requirements, the Sitter is responsible for the manner and means used to provide the childcare. The Sitter is expected to use the Sitter's own: • Judgment; • Experience; • Skill; and • Professional discretion when providing childcare.SitReady may establish baseline requirements concerning: • Eligibility; • Child safety; • Anti-fraud practices; • Anti-harassment; • Child protection; • Confidentiality; • Payments; • Platform security; and • Platform use.
